Important changes in the Company's Board of Directors

We would like to inform you that on May 20, 2025, the Company received a notice from Piotr Sucharski on his resignation from the position of a Member of the Board of Directors of NEUCA S.A. (content of the resignation below) as of December 31, 2025. 

At the same time, Piotr Sucharski declared his intention to run for the Supervisory Board of NEUCA S.A.

On May 20, the Supervisory Board of NEUCA S.A. adopted a resolution on the intention to appoint Grzegorz Dzik as the President of the Board of Directors of NEUCA S.A. as of January 1, 2026.

Piotr Sucharski has been working at NEUCA S.A. since 2001. Initially, as the Finance Director, from March 2005, in the Board of Directors of NEUCA S.A., since January 2009, as the President of the Board of Directors.

Grzegorz Dzik has been a member of the Board of Directors of NEUCA S.A. since 2010. As Vice-President, he is responsible for, among others, finance, mergers and acquisitions, investments, investor relations and clinical trials.

Content of the resignation: 

I would like to inform about my resignation as a Member of the Board of Directors of NEUCA S.A.

I have held this position for 20 years, for 16 years as the President of the Board of Directors. I am proud of how much we have achieved. We started from being one of many actors in the wholesale distribution market to become its undisputed leader. After investing in the patient segment and the clinical trials segment, we are already present on a much larger market – the health market.

Today, NEUCA is stronger than ever, with great potential and a unique strategy. We have a superb Board of Directors and agile managers who regularly reach our ambitious goals. My decision has been being prepared for many months in cooperation with the Board of Directors and the Supervisory Board. Together, we have selected a candidate for my successor. We have recommended Grzegorz Dzik for the post of the President of the Board of Directors. He has been a member of the Board of Directors for 15 years. Together, we have created a strategy and defined the directions of the Company’s development.

My intention is to run for the Supervisory Board of NEUCA S.A. I believe that my 25 years of experience at NEUCA, knowledge of strategy and awareness of market challenges will be a valuable support for both the Board of Directors and its new President.

I would like to thank everyone involved in our long-term work - employees of Neuca Group, the Board of Directors and the Supervisory Board. I am deeply grateful for all the support and trust that has contributed to reaching our goals and objectives.
