Terms and Conditions for the Provision of Electronic Services at neuca.pl Website

1. Definitions

Unless otherwise stated in the Terms and Conditions, the following terms shall mean:

1. Terms and Conditions – these Terms and Conditions;

2. User – a natural person, legal person or organisational unit without legal personality, using neuca.pl service based on the Terms and Conditions;

3. Service Provider – NEUCA S.A. with its registered office in Toruń at ul. Forteczna 35-37, 87-100 Toruń, entered in the register of entrepreneurs by the District Court in Toruń, VII Economic Division of the National Court Register under KRS no. 0000049872, REGON [Statistical Identification Number]: 870227804, NIP [Tax Identification Number]: 879 00 17 162; BDO [Waste Database Number]: 000039852. Share capital (and paid-up capital) of NEUCA S.A. amounts to PLN 4,419,949 and it is divided into 4,419,949 shares of PLN 1 each.

5. Newsletter – electronic service in the form of an electronic letter, which enables all Users to receive information from the Service Provider to the e-mail address provided by the User on current events, products and services of NEUCA S.A. and entities cooperating with the NEUCA Group. 2. General Information

2.1. The Service Provider of the Website is NEUCA S.A. with its registered office in Toruń at ul. Forteczna 35-37, 87-100 Toruń, Poland

2.2. These Terms and Conditions define the types, scope, conditions and principles of providing electronic services via the neuca.pl Website.

2.3. The Website is addressed to persons interested in obtaining information about NEUCA Group’s activities. The website grants the user with access to: pharmacist support offers; collaboration opportunities; financial information; reports; company documents; products; service offers; partner programmes; news, patient information on healthcare and clinical trials. The user can also subscribe to the newsletter, view available job vacancies and submit their application for a specific offer.

3. Applying for Job Vacancies

3.1. The kariera.neuca.pl subdomain gives the user access to the current job vacancies and to submit an application through the form available on the website.

4. Rules for Signing Up for the Newsletter

4.1. The Newsletter subscription service is free of charge and available to each User in accordance with the specific Terms and Conditions specified below.

4.2. Ordering the Newsletter requires entering the User’s e-mail address into the Newsletter order form provided by NEUCA S.A. on the website www.neuca.pl (and clicking the “subscribe” button), and later by activating the link contained in the e-mail message (activation link) sent automatically to the e-mail address provided by the User, in order to verify the correctness of the order.

4.3. Using the Newsletter requires owning an active email account.

4.4. By subscribing to the Newsletter, the User accepts the Terms and Conditions and the Privacy Policy.

4.5. The Service Provider informs that when using the Newsletter service, short text information called “cookies” (hereinafter: “cookies”) are stored on the User’s computer; other technologies may be used as an alternative (e.g. local storage). Cookies are required if necessary for the correct provision of the service.

4.6. Failure to confirm activation of the Newsletter subscription service and verification of the User’s e-mail address will result in the removal of the data entered into the database after 24 hours from the date of registration.

4.7.Newsletters are sent at a frequency defined by the Service Provider.

4.8. The Newsletter subscription agreement specified in the Terms and Conditions is concluded between the Service Provider and the User for an indefinite period of time.

5. Rules for Cancelling the Newsletter Subscription

5.1. The user has the right to unsubscribe from the Newsletter by using the deactivation link received in the Newsletter content or by using the Newsletter order form made available by NEUCA S.A. on the website www.nauca.pl by clicking on the “unsubscribe” button and then clicking on the link provided in the email (deactivation link), automatically sent to the email address provided by the User, in order to verify the correct cancellation of the subscription. The Service Provider is going to immediately unsubscribe the user from the Newsletter following the positive verification of the correctness of the cancellation.

5.2. In the event the User requests the Service Provider to stop processing the personal data received from the User, the data shall be removed (in the form of an e-mail) from the Newsletter subscriber list, which shall be tantamount to unsubscribing.

6. Personal Data

6.1. The Data Controller of the personal data provided by the User in relation to the use of services made available on the Website is NEUCA S.A. with its registered office in Toruń, ul. Forteczna 35-37, 87-100 Toruń, entered in the register of entrepreneurs by the District Court in Toruń, VII Economic Division of the National Court Register under KRS no. 0000049872, REGON [Statistical Identification Number]: 870227804, NIP [Tax Identification Number]: 879 00 17 162; BDO [Waste Database Number]: 000039852; share capital (and paid-up capital) PLN 4,453,999.00.

7. Complaints

Complaints about the service should be sent by e-mail to neuca@neuca.pl with the subject “neuca.pl Website Complaint”.  The complaint must include a detailed description of the issue. Complaints shall be answered within 14 days of receipt of the complaint, by e-mail to the address from which the complaint was received.

8. Responsibility. Reservations.

8.1. The content of the Newsletter is subject to legal protection, in particular the protection of the provisions of the Act of 4 February 1994 on Copyright and Related Rights (i.e. Journal of Laws 2018, item 1191 as amended) and the provisions of the Act of 30 June 2000 Industrial Property Law (i.e. Journal of Laws of 2017, item 776 as amended). Users do not have the right to use the content of the Newsletter for any purpose other than to read the content.

8.2. The Service Provider reserves the right to remove an invalid or non-existent email address from the Newsletter subscriber list without stating a reason.

8.3. The Service Provider reserves the right to discontinue providing the Newsletter service upon prior notification of the Users – subscribers of such fact via e-mail.

9. Validity and Amendment of the Terms and Conditions

9.1. The Terms and Conditions shall become effective as at the date of publishing on the NEUCA S.A. Website.

9.2. NEUCA S.A. reserves the right to amend these Terms and Conditions, to the extent permitted by the applicable regulations, in the event of significant reasons relating to the technical or substantive aspect of the operation of the Website, including, in particular, any relevant changes in the applicable legislation. Changes to the Terms and Conditions shall be published at www.neuca.pl. In the event the User does not accept the changes to the Terms and Conditions, the User must immediately notify the Service Provider via e-mail regarding the cancellation of the service.

9.3.The provisions of Polish law shall apply to matters not governed by these Terms and Conditions.
